NeuroTraxx Proprietary Software License Agreement

This software and associated documentation files (the "Software") are the
proprietary and confidential property of Clement T. Chow ("Licensor"). The
Software is licensed, not sold, and is protected by copyright law and
international treaty provisions.

1. GRANT OF LICENSE
   Subject to the terms of a separate written agreement with Licensor (e.g.,
   an end-user license, evaluation, or commercial agreement), Licensor may
   grant a limited, non-exclusive, non-transferable, revocable license to
   install and use the Software solely for the licensee's internal research,
   educational, or evaluation purposes. No license is granted under this
   document by itself; possession of the Software does not constitute a
   license to use it.

2. RESTRICTIONS
   Except as expressly permitted in a separate written agreement with
   Licensor, you may NOT:
     a. copy, reproduce, distribute, publish, or make the Software available
        to any third party, in whole or in part;
     b. modify, translate, adapt, reverse engineer, decompile, disassemble,
        or create derivative works based on the Software;
     c. sell, rent, lease, sublicense, assign, or otherwise transfer rights
        to the Software;
     d. remove, obscure, or alter any proprietary notices, labels, or marks
        on or in the Software;
     e. use the Software for any commercial product, service, or offering
        without Licensor's prior written consent.

3. OWNERSHIP
   The Software is licensed, not sold. Licensor retains all right, title,
   and interest in and to the Software, including all intellectual property
   rights therein. No rights are granted except as expressly set forth in
   this Agreement or a separate written agreement with Licensor.

4. NO WARRANTY
   THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
   IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY,
   FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE SOFTWARE IS AN
   INVESTIGATIONAL RESEARCH TOOL, IS NOT FDA APPROVED OR CLEARED, AND IS NOT
   INTENDED FOR CLINICAL USE OR TO DIAGNOSE, TREAT, CURE, OR PREVENT ANY
   DISEASE OR MEDICAL CONDITION.

5. LIMITATION OF LIABILITY
   IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER
   LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING
   FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER
   DEALINGS IN THE SOFTWARE, INCLUDING WITHOUT LIMITATION ANY DIRECT,
   INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

6. TERMINATION
   Any license granted under a separate agreement terminates automatically
   upon any breach of this Agreement. Upon termination, you must destroy all
   copies of the Software in your possession or control.

7. GOVERNING LAW
   This Agreement shall be governed by and construed in accordance with the
   laws applicable to Licensor's jurisdiction of residence, without regard to
   conflict-of-law principles.
